
A federal judge has temporarily blocked the proposed $110bn merger between Paramount Skydance and Warner Bros Discovery, a move that could reshape the entertainment industry.
The decision was prompted by litigation from a coalition of 12 U.S. states—led by California and New York—claiming the consolidation would substantially harm movie theatres, basic cable distributors, and consumers nationwide.
Judge Araceli Martínez‑Olguín issued a 14‑day injunction that prohibits either company from finalising the deal or commencing integration. The ruling warns that allowing the merger to proceed would make it “extraordinarily difficult to unscramble the egg” should the court later block the transaction entirely.
Both Paramount and Warner Bros have argued that the merger would improve streaming efficiencies, but the judge emphasised that public antitrust enforcement interests outweigh the temporary delay.
The companies will continue operating independently during the legal proceedings. A follow‑up hearing is scheduled for August, after which the court will decide whether the merger can proceed or be permanently denied.
